This website is not a substitute for a signed construction agreement, professional-services agreement, financing agreement, or legal advice. Construction, architectural, engineering, financing, insurance, permitting, development, and other project matters are governed by applicable agreements, professional requirements, governmental requirements, and the laws applicable to the specific project.

These Terms of Service (“Terms”) govern access to and use of the Black Harbor BD Ventures website, including its pages, forms, photographs, renderings, project information, design references, and other online content.

Website Terms

These Terms apply to use of this website only. Website content, project descriptions, photographs, renderings, design references, estimates, schedules, and other information are provided for general informational purposes.

Use of this website does not create a construction contract, design agreement, architectural or engineering relationship, financing commitment, or other professional or contractual relationship.

A binding client relationship exists only through an applicable written agreement executed by the parties.

Project Agreements

Construction, design coordination, project management, consulting, development, or other services are governed by their applicable written agreement. Depending on the engagement, that agreement may address:

  • Scope of services
  • Contract price and fees
  • Payment terms
  • Schedule
  • Responsibilities of the parties
  • Procurement
  • Change orders
  • Insurance
  • Warranties
  • Completion and closeout
  • Dispute procedures

If a signed project agreement conflicts with these website Terms concerning the contracted services, the project agreement controls.

Design & Professional Services

Projects may involve architects, engineers, interior designers, landscape architects, consultants, contractors, and other qualified professionals.

Black Harbor BD Ventures may coordinate with a client's existing professionals or qualified professionals selected for a project.

Unless expressly provided under a separate written agreement, these Terms do not constitute an architectural, engineering, surveying, interior-design, legal, or other regulated professional-services agreement.

Each licensed professional remains responsible for services within that professional's applicable scope of practice.

Financing & Referrals

Black Harbor BD Ventures is not represented through these Terms as a lender, mortgage broker, or financing provider.

Where financing information, introductions, or referrals are provided, financing remains subject to the independent provider's eligibility requirements, underwriting, documentation, and approval.

Black Harbor BD Ventures does not guarantee:

  • Financing approval
  • Loan amount
  • Interest rate
  • Loan terms
  • Funding date
  • Availability of capital

Any financing relationship is governed by the applicable lender or capital provider agreement. Where a financing or capital opportunity involves an affiliated or separate entity, that relationship will be identified separately.

Consultations & Project Inquiries

Submitting an inquiry, consultation request, project description, drawing, photograph, document, or quote request does not obligate Black Harbor BD Ventures to accept a project.

Preliminary discussions, estimates, pricing ranges, concepts, schedules, or other information provided before execution of a written agreement are not final contractual commitments.

A project becomes binding only when the applicable written agreement has been executed and any required conditions have been satisfied.

Estimates, Pricing & Changes

Website pricing, estimates, budgets, and preliminary ranges are informational and are not guaranteed. Actual costs may change because of:

  • Design development
  • Site conditions
  • Labor and material costs
  • Permitting and approvals
  • Engineering requirements
  • Material availability and lead times
  • Owner selections
  • Scope changes
  • Market conditions

Changes to an executed project are governed by the applicable agreement and change-order procedures.

Project Schedules

Any project timeline or schedule information published on this website is informational.

Actual schedules may be affected by permitting, inspections, weather, labor availability, material lead times, manufacturing, shipping, utility coordination, design revisions, owner decisions, change orders, or circumstances outside reasonable control.

The applicable signed project agreement governs contractual schedule obligations.

Website Content & Intellectual Property

Black Harbor BD Ventures owns or licenses the website materials it publishes.

Website materials may also include content provided by clients, architects, designers, photographers, consultants, manufacturers, stock providers, or other third parties. Ownership and permitted use remain subject to the applicable rights or licenses.

Visitors may not reproduce, distribute, modify, publish, sell, or commercially exploit protected website materials without authorization from the applicable rights holder.

Designs, Plans & Renderings

Floor plans, concepts, renderings, specifications, photographs, architectural materials, and other project content may originate from Black Harbor BD Ventures, clients, architects, engineers, designers, consultants, contractors, or other third parties.

Ownership and permitted use are determined by the applicable agreement, license, assignment, or other documentation.

Nothing on this website transfers ownership of design or architectural materials to a website visitor.

Client-Submitted Materials

Visitors, clients, and prospective clients may submit photographs, drawings, plans, specifications, property information, concepts, documents, or other materials.

By submitting materials, the sender represents that they have the authority to provide them.

Submitted materials may be used for evaluating, discussing, planning, or performing the related project, subject to the applicable agreement. Submission does not transfer ownership of the sender's intellectual property.

Confidential & Sensitive Information

Clients may identify information as confidential, proprietary, private, or security-sensitive.

Black Harbor BD Ventures will not knowingly publish information identified as confidential without appropriate authorization, except where disclosure is required by law, legal process, insurance requirements, or another applicable obligation.

Visitors should not submit highly sensitive, financial, security-related, or personally identifying information through a public website form unless specifically requested through an appropriate secure process.

Project Photography & Publication

Because Black Harbor BD Ventures works with private residential properties, project privacy is treated separately from ordinary website content.

Photographs, plans, property locations, identifying project information, or other materials that could reasonably identify a private residence should not be used for portfolio, editorial, social-media, advertising, award, or other promotional purposes without appropriate client authorization, except where otherwise permitted by a signed agreement.

Where publication is authorized, the applicable agreement may identify the approved materials and permitted uses.

Black Harbor BD Ventures will seek to avoid publishing personally identifying, household, or security-sensitive information without appropriate authorization.

Third-Party Professionals & Contractors

Projects may involve independent architects, engineers, designers, consultants, contractors, suppliers, lenders, insurers, governmental authorities, and other third parties.

Each party remains responsible for the services, representations, licensing, work, and contractual obligations assigned to that party.

The applicable project agreement determines Black Harbor BD Ventures' role and responsibility concerning third-party services.

Website Availability & Accuracy

Black Harbor BD Ventures seeks to maintain accurate and current website information but does not guarantee that website content will always be complete, current, error-free, or uninterrupted.

Content may be corrected, updated, removed, or changed without prior notice.

Warranties

Website content does not create any warranty beyond warranties expressly provided in an applicable signed agreement.

Construction warranties, where applicable, are governed by the relevant project contract and warranty documentation.

Limitation of Liability

To the fullest extent permitted by applicable law, Black Harbor BD Ventures is not responsible for indirect, incidental, consequential, special, or similar damages arising solely from use of this website or reliance on general website information.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by applicable law, a user who knowingly violates these Terms or unlawfully uses website materials is responsible for claims, damages, losses, or reasonable costs resulting from that violation.

Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Rhode Island, without regard to its conflict-of-law rules.

Venue & Jurisdiction

To the extent permitted by applicable law, disputes arising solely from these website Terms shall be brought in an appropriate state or federal court located in Rhode Island.

Any dispute arising from a separate project agreement is governed by the dispute-resolution and venue provisions contained in that agreement.

Changes to These Terms

Black Harbor BD Ventures may update these Terms from time to time.

A revised version becomes effective when published on this website unless a different effective date is stated.

The current effective date appears at the beginning of this page.

Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions will remain effective to the extent permitted by applicable law.

Entire Agreement — Website Use

These Terms constitute the agreement governing use of this website.

They do not replace, modify, or supersede a separate construction agreement, design agreement, consulting agreement, financing agreement, or other signed project-specific agreement.
